Welcome to Galuppi’s Preferred Vendor Program. This Agreement ensures that Vendors understand all expectations and requirements before engaging with Galuppi’s as a Preferred Vendor, improving work quality and timeliness, and while reducing risk and cost for both parties.

In this Document, Preferred Vendors will be provided with Galuppi’s Preferred Vendor agreement, Statement of Work Requirements, and the Requirements of Reporting Vendor Subcontracting and the Subcontractor agreement.

Galuppi’s Reserves the right to require Preferred Vendors to comply with the Preferred Vendor Program Administrative Guidelines, which clearly outline the requirements.

Statement of Work:

Galuppi’s is committed to providing exceptional service and experiences to our clients. As part of this commitment, we maintain a list of Vendors who align with our standards of quality and professionalism.

Scope:
This document outlines the requirements and expectations for vendors seeking to become preferred partners at Galuppi’s.
Requirements for Vendors:
- Quality Standards: Preferred vendors must demonstrate a high level of quality in their products or services, which must align with the luxury standards upheld by [Wedding Facility Name].
- Experience and Reputation: Vendors should possess a proven track record of excellence in their field and maintain a positive reputation within the wedding industry.
- Insurance and Licenses: Vendors must provide proof of appropriate liability insurance and any necessary licenses or permits required for their business operations.
- Professionalism: Preferred vendors are expected to conduct themselves professionally at all times, including prompt communication, adherence to deadlines, and courteous interactions with clients and staff.
- Flexibility: Vendors should be flexible and accommodating to meet the unique needs of each client and event.
- Collaboration: Preferred vendors are encouraged to collaborate with other vendors and the venue staff to ensure seamless execution of events.
- Feedback and Improvement: Vendors should be open to receiving feedback from clients and venue staff and demonstrate a commitment to continuous improvement.
Application Process:
Vendors interested in becoming preferred partners at GALUPPI’S must submit an application form, which includes:
- Contact information
- Description of products or services offered
- Portfolio or examples of previous work
- References from past clients or industry professionals
- Applications will be reviewed by the management team, and successful candidates will be notified of their acceptance.
Benefits of Preferred Partnership:
- Inclusion in our list of Preferred Vendors, which is provided to clients during the event planning process.
- Representation on our website and agreement to share promotional print and/or social media material upon request.
- Priority consideration for referrals and leads generated by Galuppi’s.
- Access to special events or networking opportunities hosted by the venue.
Compliance:
Vendors are expected to comply with all policies and guidelines set forth by Galuppi’s including those related to health and safety, environmental sustainability, and ethical business practices.
Termination of Partnership:
Galuppi’s reserves the right to terminate the partnership with any Vendor who fails to meet the outlined requirements or whose conduct is deemed detrimental to the reputation of the venue.
Agreement:
By becoming a preferred vendor at Galuppi’s vendors agree to abide by the terms and conditions outlined in the Agreement to Follow.

WHEREAS, Galuppi’s provides event venue services and wishes to establish a list of Preferred Vendors to offer to its clients for various services and products related to events held at Galuppi’s; and

WHEREAS, Vendor offers products and/or services that are considered valuable by Galuppi’s clients and is interested in becoming a Preferred Vendor for Galuppi’s;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, Galuppi’s and Vendor agree as follows:

1. Preferred Vendor Status(Required)

2. Commission(Required)

2.1 In the event that a client of Galuppi’s contracts with Vendor for the products and/or services outlined in Section 1.1 as a result of the referral made by Galuppi’s, Vendor shall pay Galuppi’s a commission fee equal to ten percent (10%) of the total contract amount (“Commission Fee”); this fee will be removed from each package sold. Galuppi’s will provide a 50% deposit at the time of booking payment and 40% on the day of the event via check.

3.1 This Agreement shall commence on the Signed Effective Date and shall continue in effect until terminated by either party with thirty (30) days’ written notice to the other party; via email and/or certified letter.

3.2 Either party may terminate this Agreement immediately upon written notice for a material breach of any provision herein.

4. Independent Contractors(Required)

4.1 Galuppi’s and Vendor are independent contractors, and nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the parties.

4.2 Performance Reviews – Upon Galuppi’s request, the vendor will meet with Galuppi’s for periodic performance reviews.

4.3 Subcontracting of work –Vendor shall not subcontract all or any portion of the work to third parties (“Subcontractor”) without the express prior written approval or authorization of Galuppi’s.

4.4 Insurance Required: Galuppi’s reserves the right to require the Vendor to hold current Liability and Workman’s Compensation insurance and to provide Galuppi’s with a Certificate of Insurance listing Galuppi’s and the City of Pompano as an additional insured.

5. Governing Law(Required)

5.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles, and in the event of any litigation arising out of this agreement, venue shall be Broward County, Florida, its prevailing party shall be entitled to recover reasonable attorneys fees and court costs.

Vendor Subcontractor Reporting Requirements for Events at Galuppi’s

1. Notification:(Required)

Vendors are required to notify Galuppi’s in writing of any subcontractors they intend to engage for services related to events held at the facility. Notification should be provided at least 30 days prior to the scheduled event.

2. Subcontractor Information:(Required)

Vendors must provide detailed information about the subcontractors by completing a Subcontractor Information Sheet and Agreement. Which will be provided upon request.

3. Compliance with Facility Policies:(Required)

Subcontractors must comply with all policies and guidelines set forth by Galuppi’s including those related to health and safety, security, and environmental sustainability.

4. Professionalism and Conduct:(Required)

Subcontractors are expected to conduct themselves professionally at all times while on the premises of Galuppi’s including interacting courteously with clients, guests, and venue staff.

5. Timely Arrival and Departure:(Required)

Subcontractors must arrive at the designated time and location specified by the primary vendor and departs promptly upon completion of their services, as coordinated with the event schedule.

6. Coordination with Venue Staff:(Required)

Subcontractors should coordinate closely with venue staff to ensure seamless execution of their services and compliance with event timelines and requirements.

7. Communication Channels:(Required)

Vendors are responsible for maintaining open communication channels between themselves, subcontractors, and the venue staff throughout the planning and execution of the event.

8. Liability and Indemnification:(Required)

Vendors assume full responsibility for the actions and performance of subcontractors engaged for services related to events at Galuppi’s. Vendors shall indemnify and hold harmless the facility from any claims, damages, or liabilities arising from subcontractor activities.

9. Non-Disclosure Agreement (NDA):(Required)

Subcontractors may be required to sign a non-disclosure agreement (NDA) to protect confidential information related to the event or the facility.

10. Termination of Subcontractor Agreement:(Required)

Galuppi’s reserves the right to prohibit subcontractors from providing services at the facility if they fail to comply with the requirements outlined in this document or engages in conduct deemed detrimental to the facility’s operations or reputation.

11. Acknowledgment of Agreement:(Required)

By engaging subcontractors for services related to events at Galuppi’s, Vendors acknowledge and agree to abide by the terms and conditions outlined in this document.
